Job Description

Role Summary

The Corporate Communications and Legal Director is accountable for taking the day-to-day legal responsibilities and providing legal advice that includes all the aspects of the analysis, investigation and drafting process. He/she is responsible for providing support in discrete legal issues by advising the organization, drafting undertakings, and structuring remedies for the relevant issues. The incumbent will also be responsible for the internal and external communication aspects of the business. Internally create strategies to increase employee awareness and promote productivity and externally communicate with the media and other stakeholders.

Legal Affairs

  • Conduct legal analysis and research on various legal matters of the client or the organization
  • Provide advice on different legal issues and assist in drafting legal opinions, memorandum, and other briefing documents
  • Actively involves in preparing and drafting of different acts and legal submissions and draft the authoritative legal opinions as well
  • Conduct legal research by utilizing various resources and selecting the relevant material to analyze the legal information
  • Assist in reviewing the legal material and any other relevant documents and to identify the most important issues that need to be sorted out on a priority basis
  • Draw up formalities regarding the settlement of disputes and monitor the implementation of the legal clauses
  • Advises on employment matters, including drafting, negotiating and administering employment agreements.
  • Develop and oversee the systems that ensures HBSC complies with legal and statutory requirements

 Shareholders Affairs

  •  Manage the shareholder office that is responsible for the register of shareholders, and maintain changes in share ownership of HBSC on ongoing basis
  • Protect HBSC interest by vetting all contracts with third party
  • Set up, review, provide and advice on all legal documents, contracts, agreements between HBSC and third parties if so required. including commercial agreements
  • Advise management and HBSC's board on legal matters that may arise while doing business
  • Prepare Board report on all completed contracts that need to be brought the attention of the board
  • Establish and maintain consistent communication with the board of directors and serve as its primary liaison to the CEO and MT
  • Collaborate with the Board to develop agendas for OGM, EGM, BOD and other meetings
  • Draft minutes, resolutions, and communications and ensure timely distribution
  • Ensure the security of the Company's legal documents.
  • Lead shareholder affairs department
  • Ensure all shareholders activities are organized and led by him/her
  • Lead and organize regular meetings with general shareholders.
  • Ensure shares are management done according to the country law.
  • Ensure proper customer service provided to all share holders
  • Manage buying, selling and issuing of shares

Internal/ Employee communication

  • Developing an internal communication plan to drive engagement, alignment and understanding of Habesha’s strategy and priorities.
  • Ensure employees are kept informed and motivated.
  • Leads the creation, editing, content development, layout, and production of internal newsletters
  • Building strong working relationships with other internal teams and individuals and providing communications consultancy advice to all departments.

Media/public relation

  • Maintain current contact details of relevant journalists.
  • Assisting with the design and development of a media relations strategy that promotes, protects, and builds on Habesha’s reputation and ensures alignment with Habesha’s strategies and priorities.
  • Creating a positive media profile and positioning.
  • Prepare media statements.
  • Respond to media inquiries.
  • Drafting and distributing news releases using a combination of traditional and social media

 Crisis Management

  •  Participates on the Emergency Response
  • Identify activities/events in the market & social research industry that are likely to become media issues.
  • Recommend strategies to manage the issues, including identifying appropriate responses and communication channels.

Strategic Planning – Communications

  • Design corporate communication strategy and plan.
  • Assist with the development of communications policies and plans for internal and external communications.
  • Ensuring efficient and effective use of communications channels reviewing and updating to meet audience requirements.

Job Requirements

Required Competencies

  • LLM/LLB in Law
  • 8 years of work experience of which 2 years in similar role
  • relevant experience in corporate communications
  • Excellent knowledge of all types of legal matters related to the operation of an organization and corporate law, law of contract, civil and labor law
  • English and Amharic language fluency
